1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of BoodleX AI, a platform developed by SmartersWeb. By accessing or using BoodleX AI, you agree to comply with these Terms. If you do not agree, you may not use the services.

2. Eligibility

By using BoodleX AI, you confirm that:

You are at least 18 years old or have the consent of a parent or legal guardian.
You comply with all applicable laws, regulations, and standards while using our services.

3. Account Registration

To access certain features, you must register an account and provide accurate, complete information.
You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
BoodleX AI reserves the right to suspend or terminate accounts that violate these Terms.

4. User-Generated Content and Data Usage

Ownership: Users retain ownership of all content uploaded, generated, or trained using BoodleX AI tools.
License: By using BoodleX AI, you grant us a non-exclusive, worldwide license to process, store, and use your content as necessary to provide the services.
Security: All user data and content are protected with industry-standard security measures. BoodleX AI does not retain ownership of user-generated content beyond service provision.
Third-Party AI Services: BoodleX AI may utilize AI-related services from third parties as part of its platform. Users acknowledge and agree that BoodleX AI does not hold any responsibility for the content users generate on the platform. It is the user's sole responsibility to use any generated content in compliance with local laws, privacy regulations, intellectual property rights, copyright laws, and any other applicable legal requirements. BoodleX AI will not be held responsible for how users utilize the data or content generated through the platform.

5. Prohibited Activities

You agree not to use BoodleX AI for:

Illegal or harmful activities, including generating content that violates laws or regulations.
Uploading or generating content that infringes intellectual property rights.
Sharing offensive, harmful, or inappropriate content, including hate speech, violence, or sexually explicit materials.
Misleading or impersonating others without consent.
Reverse-engineering or attempting to access the source code of BoodleX AI.
Developing non-fungible tokens (NFTs) or similar blockchain products without explicit permission.

6. Intellectual Property

BoodleX AI Property: The platform, software, and underlying technologies are the property of SmartersWeb.
User-Generated Content: Users are fully responsible for the compliance and legality of their generated content.
BoodleX AI disclaims responsibility for any misuse of user-generated content.

7. Fees and Payment

Certain features are subject to fees as described on the platform.
All payments are non-refundable unless required by law.
BoodleX AI reserves the right to modify pricing or introduce new charges with prior notice.

8. Service Availability

BoodleX AI aims to maintain 97%+ uptime. However, interruptions may occur due to maintenance, upgrades, or unforeseen events.
BoodleX AI is not responsible for any downtime caused by third-party service providers or force majeure events.

9. Fair Use Policy

Users are subject to a generous daily usage cap to ensure the platform is not exploited, particularly for unlimited all-inclusive packages. BoodleX AI is designed for low to moderate usage levels that align with typical business or personal needs.
BoodleX AI continually monitors user usage patterns. If we determine that the platform is being subjected to consistent heavy usage that exceeds reasonable limits or is being exploited in a manner that renders service provision economically unsustainable, BoodleX AI reserves the right to either restrict the user's activities or terminate the account.
In such cases, BoodleX AI may, at its sole discretion, issue a refund to conclude the relationship. The refund amount will be determined based on the severity of the fair use policy breach and the level of platform exploitation.

10. Disclaimer of Warranties

BoodleX AI is provided "as is" and "as available" without warranties of any kind, including fitness for a particular purpose. We do not guarantee error-free, uninterrupted service. Users are responsible for verifying the accuracy of generated content.

11. Limitation of Liability

To the maximum extent permitted by law, BoodleX AI and SmartersWeb are not liable for indirect, incidental, or consequential damages arising from the use of our services. Our liability is limited to the fees paid by the user in the 12 months preceding the claim.

12. Indemnification

Users agree to indemnify and hold harmless BoodleX AI and SmartersWeb against claims, damages, or expenses arising from the use of our services in violation of these Terms.

13. Privacy and Security

BoodleX AI adheres to GDPR and other applicable data protection laws. Personal data is processed in accordance with our Privacy Policy, available on the platform.

14. AI Module-Specific Terms

Image Generation: Users agree to comply with intellectual property laws and avoid generating harmful or misleading images.
Avatar Creation: Users must not create or use avatars that impersonate individuals without consent.
Text Suite: Users are responsible for ensuring compliance with copyright laws for any text generated.

15. Termination

BoodleX AI reserves the right to suspend or terminate access for users who breach these Terms. Upon termination, all user rights under these Terms cease immediately.

16. Dispute Resolution

These Terms are governed by the laws of the United Kingdom. Disputes will be resolved through arbitration in London, UK, following internal support escalation protocols.

17. Changes to the Terms

BoodleX AI reserves the right to modify these Terms at any time. Users will be notified of significant changes via email or the platform.
